These Terms of Service ("Terms") govern your access to and use of makojima.com and the account, learning, and Agents features made available there (the "Service"). Makojima is the business that operates the Service. In these Terms, "Makojima," "we," "our," and "us" refer to that business.
Accepting these terms
By accessing or using the Service, you agree to these Terms, our Privacy Policy, and the Acceptable Use Policy. If you do not agree, do not use the Service. If you use the Service for an organization, you represent that you are authorized to bind that organization, and "you" includes it.
These Terms apply only to features that Makojima actually makes available through the public Production Service. A prototype, announcement, design, test, or internal tool is not a promised public feature or offer.
Eligibility
You must be at least 16 years old and legally able to enter into these Terms. If the law where you live requires a higher age or parental authorization for an online service, that rule also applies. You may not use the Service if applicable law prohibits it or if Makojima previously terminated your access for serious or repeated violations.
Accounts and security
You must provide accurate account information, keep it current, protect your password, session, MFA factors, recovery phrase, and one-time codes, and promptly notify us of suspected compromise. You may not share an account in a way that defeats security, access controls, or usage limits; create accounts for impersonation or evasion; or transfer an account without written permission.
You are responsible for activity performed through your account unless caused by Makojima's failure to use reasonable security. Makojima may require email verification, MFA, a recent authentication assurance level, or a recovery review before allowing a security-sensitive action. Recovery support may use a non-identifying case reference and a security hold; an email conversation by itself does not prove ownership.
The Service
The Service may include a public lesson feed, account and settings surfaces, learning-progress records, authentication and recovery tools, and an Agents workspace. Features can be added, changed, limited, paused, or removed. Availability may depend on account state, location, browser capabilities, safety limits, provider availability, and whether a Production feature has been activated.
Makojima may use protected testing environments with synthetic or disposable data. Test content and behavior do not represent a promise about Production data, uptime, or release timing.
Learning content and no professional advice
Makojima provides educational content and study assistance. Content may be incomplete, outdated, or incorrect and is not a substitute for authoritative standards, course instructions, licensed professional judgment, or advice from a qualified accounting, tax, legal, investment, medical, or other professional. You are responsible for checking important information and for decisions you make.
Makojima is not affiliated with or endorsed by a testing authority, school, employer, or professional body unless we expressly state otherwise. Product and organization names may be trademarks of their owners.
Agents
Agents can generate explanations and other output in response to your prompts. Output is probabilistic and may be inaccurate, fabricated, biased, incomplete, offensive, or unsuitable even when it sounds confident or specific. You must evaluate output for accuracy and suitability before using or sharing it, including independent human review when appropriate. Do not rely on it as a sole source for consequential decisions. Do not submit information that you do not have the right to use or information whose disclosure to a model provider would violate law, contract, confidentiality, or professional duty.
The Service may retain conversations, message status, selected Agent and model, attachments, text you submit from an edited voice transcript after pressing Send, and usage records under your account. Server-controlled authorization, request bounds, rate limits, and safety controls apply. An unavailable or unconfigured model provider may prevent Agents from answering without affecting the rest of the Service.
You may use Agents output for your own lawful purposes subject to these Terms and any third-party rights. Because similar or identical output may be generated for others and the law governing AI-generated material is evolving, Makojima does not promise that output is unique, protectable, or free of third-party claims. Output does not represent Makojima's views. A reference to a third party does not mean that the third party endorses or is affiliated with Makojima.
Your content
You retain whatever rights you have in prompts, files, feedback, and other material you submit ("Your Content"). You grant Makojima a limited, worldwide, non-exclusive license to host, copy, transmit, transform, and display Your Content only as reasonably necessary to provide, secure, support, and improve the Service, comply with law, and enforce these Terms. This license ends when the content is deleted from active systems, subject to reasonable backup, security, legal-hold, and de-identification periods.
You represent that you have all rights and permissions needed to submit Your Content and that our permitted processing will not violate law or another person's rights. You remain responsible for Your Content.
Creator models and hosted inference
A creator may apply to publish a reviewed, fixed fine-tune made from a Makojima-approved base template. A creator model cannot be copied, forked, or used as the base for another fine-tuning job. Publication requires the separate creator agreement, adult and identity verification, tax and sanctions approval, two-step verification, recovery codes, a current creator rate, a qualified and safety-reviewed release, a reviewed base license, and an enabled country. A creator represents that the creator owns or can license the training data, model name, description, and every other submitted element. Makojima may scan, reject, quarantine, unpublish, suspend, or remove a dataset, artifact, release, or endpoint for malware, unsafe format, personal information, secrets, license conflict, rights concerns, safety, sanctions, law, or Service risk.
Before accepting a fine-tuning quote, the project owner is told that a successful job creates a standalone merged artifact, that the base license and attribution duties still apply, and that creator earnings apply only to public inference sold through Makojima. The owner may request delivery of the merged artifact when the reviewed license permits it. A Hugging Face export is a separate express action and may be private or public only when the license permits redistribution. Makojima never publishes an artifact to Hugging Face automatically.
Each published release is immutable. An update creates another qualified release with a unique label, and the creator may identify one release as recommended. Older releases remain visible and callable until the creator deprecates or disables them. Each admitted request keeps the exact release and price version it accepted. The public page always identifies the effective license and base-model lineage. Public inference does not disclose model weights, adapters, datasets, or training records.
A creator may have a private dedicated endpoint or a separate public serverless listing. A dedicated endpoint is billed by the minute only after health checks pass, uses a Makojima-selected provider and machine, stops at shutdown or its spending limit, and is never silently offered to public traffic. Owner use of that endpoint does not create token charges or creator earnings. Public serverless inference uses Makojima-managed capacity and may be available through Chat, supported Agent actions, or the API.
For a new public serverless listing, a creator enters desired net U.S.-dollar earnings per one million uncached input, cached-input, and output tokens. At the stated conversion of one U.S. dollar to 1,000 compute credits, the customer rate for each category is Makojima's base service charge plus the creator's net earnings plus a marketplace fee equal to 10% of those creator earnings. The final rate for each category cannot exceed ten times Makojima's applicable base rate. Money and credit values use integer smallest units. Every change creates a new immutable price version and affects only requests admitted after its effective time.
Previously accepted percentage-based licensed endpoints are frozen legacy contracts. Their accepted release, customer price, and payout do not change through the new pricing system, and no new copied endpoint is created.
Creator earnings and cashouts
Makojima sells hosted inference to customers. A creator earns the creator-net amount pinned to a completed, successful, paid, third-party public serverless request. Free, promotional, refunded, disputed, fraudulent, or administrative credits have no creator cash value. Self-use, dedicated use, failed inference, and cancelled inference do not earn commission. Earnings mature after 30 days. Refunds, disputes, payout reversals, tax corrections, withholding, and actual provider fees create append-only positive or negative entries instead of changing past usage. A negative balance is recovered from future earnings and blocks cashout until resolved.
The minimum cashout is 5 U.S. dollars, and the estimated payment after fees must remain positive. Available methods are Stripe Connect Express and PayPal Payouts where approved. A creator chooses and confirms a masked destination, and a new or changed destination creates a 72-hour cashout hold and an essential security notice. The creator sees gross earnings, withholding, estimated provider fee, exchange rate when applicable, and expected net payment before confirmation. The actual final provider fee is borne by the creator and reconciled after the provider reports it.
Cashout can move through requested, compliance review, processing, sent to provider, paid, unclaimed, held, failed, returned, or reversed states. A Stripe transfer into a connected Stripe balance is sent to the provider and is not a representation that a bank received the funds. A PayPal payout remains processing until its final item status arrives; an unclaimed payment can return after 30 days. Returned and reversed amounts remain under review before they become available again.
Creator onboarding and cashout remain unavailable until Makojima has an approved hosted Trolley Tax and Trust integration, applicable tax classification and withholding rules, provider approval, and an enabled-country entry. Trolley holds tax numbers and identity documents. Makojima stores provider references and status. Creator payment classification, year-end forms, and withholding follow the written tax determination and applicable law, not a classification inferred by the software.
Customer compute credits are non-transferable, non-withdrawable service credits. Creator earnings are a separate conditional commission record and are not customer credits, stored value, or a promise that a credit can be redeemed. A separate payments-law review governs the released program.
Voice cloning
The Service may let you clone a voice from a short reference recording and generate speech in that voice. Generation draws from your compute-credit balance at the per-second rate shown in the product. An estimate is held when you queue a request, and you are charged for the exact seconds generated.
You may clone only your own voice or a voice whose speaker has given you explicit permission to clone it. Before a voice is saved, you must confirm that consent, and we record the consent text you confirmed, the time, your network address, and your browser agent as the consent record for that voice. Keep whatever permission you relied on; we may ask you to demonstrate it.
Generated audio carries an inaudible watermark that identifies it as synthesized. You may not remove, obscure, or strip that watermark, and you may not present generated speech as a genuine recording of a real person. The Acceptable Use Policy lists prohibited uses, including impersonation, fraud, and deception.
Deleting a voice deletes its stored reference recording. You may download and lawfully use the audio you generate, subject to these Terms and third-party rights. You are responsible for the speech you request and for how you use or share it.
Feedback
You do not have to provide ideas, suggestions, ratings, or other feedback. If you choose to provide feedback, Makojima may use it without restriction or compensation to you. This does not allow us to publish personal information from a support or legal request contrary to the Privacy Policy.
Acceptable use
You must follow the Acceptable Use Policy. Among other things, you may not compromise accounts or systems, bypass safety or usage controls, introduce malware, scrape or overload the Service without permission, use the Service to harm or deceive, infringe rights, facilitate academic dishonesty, or attempt to obtain credentials, private data, system prompts, provider secrets, or other restricted information.
Makojima content and intellectual property
The Service, sleeping-cats mark, interface, software, source organization, original educational material, graphics, and other Makojima-provided content are owned by Makojima or the applicable licensors and protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
You may not copy, sell, sublicense, publicly distribute, remove notices from, or create a competing dataset or service from Makojima content except as permitted by law or written permission. You may make ordinary personal study notes and use built-in sharing or export features within the limits they present.
If you believe material on the Service infringes your rights, email legal@makojima.com with enough detail to identify the work, the material, your contact information, your good-faith belief, and your authority to act. Knowingly false notices may create liability.
Communications
Makojima separates essential service communications from optional communications.
Essential service and security messages may include email verification, sign-in or password notices, account recovery, MFA and security alerts, material policy updates, service-disruption notices, legal notices, and messages necessary to administer a released account feature. These are not marketing and cannot be disabled while the related account or request remains active.
Optional communications may include personalized learning insights and special offers for you. Product updates, feature announcements, upgrade messages, promotions, and offers are optional and may not be relabeled as essential service messages. They require an affirmative request. You can change the request in Settings. A request may remain inactive until email verification and the separate Production transport gate are complete. You may opt out without losing essential account messages.
Electronic messages and records satisfy written-notice requirements to the extent permitted by law. You are responsible for keeping your account email current.
Third-party services and links
The Service depends on third-party hosting, authentication, database, analytics, bot-protection, chat-model, static on-device model distribution, storage, monitoring, and email services. Voice transcription and read-aloud synthesis run in the browser rather than through a speech-processing provider. Microphone audio is not uploaded for transcription, static model hosts receive only ordinary asset-download requests, and an editable transcript reaches Makojima only if you press Send. The Service may link to outside websites. Third parties control their own services, terms, privacy practices, availability, and content. A link or integration is not an endorsement. To the maximum extent permitted by law, you use third-party services and content at your own risk, and Makojima is not responsible for them.
Paid features
Makojima offers optional monthly subscriptions on the Plans page: Plus at $25 per month, Pro at $50 per month, and Max at $100 per month. Free remains available at no charge with 25 GB of private storage. Paid private storage is 250 GB on Plus, 500 GB on Pro, and 1 TB on Max. Free hosted model copies that see no model operations for 30 days may be removed.
A paid plan is an offer only when you start checkout from Plans while signed in. Checkout is completed on Stripe. Taxes may be added by Stripe based on your location. Subscriptions renew each month until you cancel.
Cancel or change a plan through the billing portal linked from Plans, or by contacting us. Cancellation stops the next renewal. The current period remains available until it ends. We grant the plan's monthly compute-credit allowance after Stripe confirms payment for that period. If you upgrade during a period, we add the extra credits for the new plan after Stripe confirms that change.
Plans also offers one-time Add-On Packs and a custom load so you can add credits on top of the monthly allowance. Pack prices are $5, $10, $25, $50, and $100. Custom loads are whole dollars. Daily load limits apply by account tier: $100 a day on Tier 1, $250 a day on Tier 2, and $500 a day on Tier 3. Tier 4 and organization exceptions are arranged through Contact. Auto-recharge, when you turn it on, buys the pack you chose after Stripe confirms you are low, and it counts toward the same daily limit.
Unused monthly compute credits do not roll over unless we say otherwise on Plans. Add-on credits stay available until they are used. Storage allowances apply while the subscription is active. If payment fails, we may limit paid features until the invoice is paid or the subscription ends.
These Terms, the price shown at checkout, and the Stripe receipt are the purchase record. A price shown only in a prototype or internal tool is not an offer.
Suspension and termination
You may stop using the Service at any time. You may request account deletion through a released control or by contacting us. Makojima may limit, suspend, or terminate access when reasonably necessary to investigate or prevent security risk, policy violations, unlawful conduct, harm to others, nonpayment of a future paid obligation, or material risk to the Service.
When appropriate, we may provide notice and an opportunity to appeal. Urgent threats, evasion, legal restrictions, or conduct that could cause harm may require immediate action. Provisions that by their nature should survive termination, including ownership, disclaimers, liability limits, dispute terms, and accrued obligations, survive.
Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." Makojima disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, security, and accuracy. We do not warrant that the Service or Agents output will meet your requirements, be error-free, preserve every submission, remain available, or produce any academic, exam, employment, or professional result.
Some jurisdictions do not allow certain disclaimers, so part of this section may not apply to you. Nothing in these Terms excludes a right that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, Makojima and its contractors and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, opportunities, or business interruption arising from the Service or these Terms, even if advised of the possibility.
To the maximum extent permitted by law, Makojima's aggregate liability for all claims arising from the Service or these Terms will not exceed the greater of 100 U.S. dollars or the amount you paid for the Service during the twelve months before the event giving rise to the claim. This limitation does not apply where prohibited or to liability that cannot lawfully be limited.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Makojima and its contractors and service providers from third-party claims, damages, losses, liabilities, and reasonable costs arising from Your Content, your material breach of these Terms, or your unlawful or abusive use of the Service. This obligation does not apply to the extent a claim results from our own unlawful conduct.
Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where your local law requires otherwise.
Before filing a formal claim, you and Makojima agree to make a good-faith effort for 30 days to resolve the dispute informally after written notice describing the issue and requested resolution. Either party may seek urgent injunctive relief to protect accounts, systems, confidential information, or intellectual-property rights. Any mandatory consumer forum or non-waivable local right remains available.
Changes to these terms
We may update these Terms as the Production Service or law changes. We will revise the last-updated date and provide additional notice when required. Changes apply prospectively from their effective date unless law permits otherwise. Continuing to use the Service after updated Terms take effect means you accept them; if you do not accept them, stop using the Service.
General terms
These Terms and the policies they incorporate are the entire agreement about the Service unless a separate written agreement applies. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the rest will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. Makojima may assign them to the legal entity that owns or operates the Service, or in connection with a reorganization, financing, merger, sale, or transfer of the Service, subject to applicable law.
You must comply with applicable trade, sanctions, and export-control laws. You may not use the Service for a prohibited end use, in an embargoed location, or for the benefit of a person or entity with whom applicable law prohibits dealings.
